The Board role

The Smiths Group plc Board of Directors is responsible for the sustainable long term success of the Group, which it does through its focused leadership, and the development, review and implementation of the Group's strategy. It maintains control over the Group's assets, monitors performance of management and succession planning, establishes high ethical standards of behaviour, develops robust corporate governance and risk management practices and procedures, and ensures that its obligations to its shareholders are understood and met.

The Board sets the tone for the Company. The way in which it conducts itself, its attitude to ethical matters, its definitions of success and the assessment of appropriate risk all define the atmosphere within which the executive team work.

Membership of the Board is for 365 days a year. The Board's responsibilities do not start and end with formal meetings. Members endeavour to engage outside regular meetings, to bring their experience to the assistance of the executive team, whenever possible. Above all, members seek to add value in their engagement with the Company formal or otherwise.
